Terms of Service Agreement, Privacy Policy & Recurring Payment Policy


The information contained in this agreement is provided for legal purposes and is legally binding once a payment has been submitted to the Service Provider and processed via Wix Payment.

User's Acknowledgment and Acceptance of Terms
The VA Toolbox ("Us" or "We") provides the www.TheVAToolbox.com site and various related services (collectively, the "site") to you, the user, subject to your compliance with all the terms, conditions, and notices contained or referenced herein (the "Terms of Use"), as well as any other written agreement between us and you. In addition, when using particular services or materials on this site, users shall be subject to any posted
rules applicable to such services or materials that may contain terms and conditions in addition to those in these Terms of Use. All such guidelines or rules are hereby incorporated by reference into these Terms of Use.


BY USING THIS SITE, YOU AGREE TO BE BOUND BY THESE TERMS OF USE. IF YOU DO NOT WISH TO

PARTICULAR PRODUCTS OR SERVICES. YOUR AGREEMENT WITH US REGARDING COMPLIANCE

These Terms of Use are effective as of the "Last Modified" date identified at the top of this page. We expressly reserve the right to change these Terms of Use from time to time without notice to you. You acknowledge and agree that it is your responsibility to review this site and these Terms of Use from time to time and to familiarize yourself with any modifications. Your continued use of this site after such modifications will constitute acknowledgment of the modified Terms of Use and agreement to abide and be bound by the modified Terms of Use. However, for any material modifications to the Terms of Use or in the event that such modifications materially alter your rights or obligations hereunder, such amended Terms of Use will automatically be effective
upon the earlier of (i) your continued use of this site with actual knowledge of such modifications, or (ii) 30 days from publication of such modified Terms of Use on this site. Notwithstanding the foregoing, the resolution of any dispute that arises between you and us will be governed by the Terms of Use in effect at the time such dispute arose.


As used in these Terms of Use, references to our "Affiliates" include our owners, subsidiaries, affiliated companies, officers, directors, suppliers, partners, sponsors, and advertisers, and includes (without limitation) all parties involved in creating, producing, and/or delivering this site and/or its contents.


Overview of our Services
To ensure the quality of the The VA Toolbox experience we have set up our terms of service for our mutual benefit. If you violate these rules it will mean you've broken the terms of service and this may result in a termination of your account.


Tasks and concierge requests are non-transferable. You cannot sell or give away tasks on your plan but you are more than free to buy a plan for your friends, family, and loved ones—they'll love you and so will we. Your The VA Toolbox account is also non-transferable. That means if one person signs up, you cannot transfer ownership of that account to another person.


All The VA Toolbox plans are governed by monthly hour limit by plan type. If these hours are unused by the next billing cycle, the hours will not carry over to the next cycle.


All The VA Toolbox plans are recurring subscriptions (automate your service after 30 days) that can be canceled at any time. Any agreement or attempted agreement between client and assistant, in connection with a service contract, requiring that payment be made outside of The VA Toolbox shall constitute a material breach of this agreement and be subject to cancellation without refund.


Requests & Tasks


Each request (task) must be submitted by phone, email or SMS. Please send your requests individually: this means that each communication you have with your assistant should contain one, defined, task. You're more than welcome to submit multiple tasks at one time, but we ask that you create a separate email for each. This ensures the fastest possible turnaround for each task. If you ever feel like your service could be better, you can contact us by telephone or email us at
thevatoolbox@gmail.com. For a list of example tasks that we will and won't do, please consult our "expectations" page. That should give you a good idea of what we're able to accomplish and what we simply cannot do. Agreeing to these terms of service means you understand and agree to keep your tasks within the scope of our business.


Ownership and Confidentiality of Work Product


If a Virtual Assistant creates anything original for you, such as research projects, reports, templates, spreadsheets, forms, etc. ("Work Product"), The VA Toolbox grants to you a non-exclusive, royalty-free, perpetual, irrevocable, non-transferable license to use the Work Product for your own personal and commercial purposes. The VA Toolbox owns the Work Product and has the right to use and disclose the Work Product to any third party, provided that The VA Toolbox will not disclose your confidential information to any third party.
To avoid doubt, you retain sole ownership of your confidential information and your intellectual property and, to the extent your confidential information or intellectual property is incorporated into the Work Product, it will be removed prior to any use or disclosure by The VA Toolbox to a third party. As used in these Terms of Service, your confidential information means non-public information that you provide to The VA Toolbox or a Virtual Assistant that you reasonably expect The VA Toolbox to keep secret, including your personal information (i.e., your name, your social security number, your credit card information, and similar information), but does not include information that (1) becomes generally available to the public other than an
unauthorized disclosure by The VA Toolbox or a Virtual Assistant; (2) was or becomes available to The VA Toolbox or a Virtual Assistant on a non-confidential basis prior to your disclosure of the information to The VA Toolbox or a Virtual Assistant; (3) is independently developed by The VA Toolbox or a Virtual Assistant without using your confidential information; or (4) information we are required to disclose by a warrant, subpoena or other request in an investigation or legal proceeding or where disclosure is necessary to protect The VA Toolbox's rights or property, or the rights or property of Virtual Assistants or our other clients.


As used in these Terms of Service, your intellectual property means patents, trademarks, and copyrights owned by you and any insights, knowledge, and ideas provided by you in connection with the creation of the Work Product.


Guarantee & Warranty
There is no warranty on any of the information, tasks, or projects your Virtual Assistant completes for you. What we will promise is that we'll do our best to provide the most accurate, most effective information available and we know Virtual Assistants do this better than anyone else. However, if we give you information or results that are wrong, although we'll be deeply sorry, you can't hold us liable for it (or the results) legally or morally — we're sorry!


Cancellations
If you leave us, we'll miss you dearly but we won't hold you back. Subscriptions can be canceled at any time, though we are unable to prorate membership cancellations or refund due to unused time. All cancellation requests will go into effect at the end of your current month subscription. To cancel, just email your assistant or contact our Support Team before your next billing cycle at thevatoolbox@gmail.com and ask us to cancel your subscription. Send your request at least 24-48 hours in advance to avoid being charged.


Termination of Service


In darker news, we reserve the right to terminate the service of a The VA Toolbox client at any time — for any reason. Should this occur, we will give you a prorated refund at the standard hourly or monthly rate for any period for which you have already paid. That means that rarely and under great duress, we may end our relationship with a client for any number of reasons including but not limited to the following: 


If the client is constantly requesting tasks outside the scope of their service plan and we're unable to find a solution by scaling back the requests If the client is abusive to his/her assistant or any other The VA Toolbox team member


The VA Toolbox Terms of Service Non-solicitation Provision


I acknowledge that The VA Toolbox has made substantial investments in recruiting, training and matching skilled The VA Toolbox assistants with each of its members including me and that The VA Toolbox has a legitimate interest in earning a reasonable return on those investments. I also acknowledge that The VA Toolbox has agreements with The VA Toolbox assistants that protect this interest by requiring that The VA Toolbox assistants obtain The VA Toolbox's prior written consent before accepting any direct engagement (whether as an employee, consultant, contractor or otherwise) with The VA Toolbox member to whom they were assigned.
Accordingly, to the fullest extent permitted under applicable law, I agree that during my membership and for a period of twelve (12) months immediately following the termination of my relationship with The VA Toolbox for any reason, whether voluntary or involuntary, with or without cause, I shall not directly or indirectly solicit any The VA Toolbox assistant who is assigned to me at that time or who was assigned to me within the six months
preceding termination of my relationship with The VA Toolbox to leave his or her employment with The VA Toolbox and to work for me in any engagement directly or indirectly. Should any solicitation by me become a substantial factor resulting in a The VA Toolbox assistant leaving The VA Toolbox and accepting an engagement with me directly or indirectly without The VA Toolbox's consent, I agree to pay The VA Toolbox as liquidated damages reasonably calculated to compensate The VA Toolbox for its lost investments and not as a penalty of any kind, a one-time fee equivalent to one year of my monthly subscription in effect at the most recent date
that The VA Toolbox assistant had been assigned to me by The VA Toolbox.

We may also contact you through email when new partners join the The VA Toolbox network and for new offers by The VA Toolbox partners.


Third Party Access

We may provide information to third party service providers that help us fulfill services that you request from us. We may also use third parties to help host our Site, send out email updates about the Site, provide marketing, analytic, and advertising services for us, remove repetitive information from our user lists, and process payments. These service providers will have access to your personal information in order to provide these services, but when this occurs we implement reasonable contractual and technical protections to limit their use of that information to helping us provide the service.


Advertising

We may use how you browse in order to show you ads for The VA Toolbox or The VA Toolbox partners that are relevant to your interests and individual needs. We may use cookies and other information to provide relevant interest-based advertising to you. Interest-based ads are ads presented to you based on your browsing behavior in order to provide you with ads more tailored to your interests. These interest-based ads may be presented to you while you are browsing our site or third-party sites not owned by The VA Toolbox.

We belong to ad networks that may use your browsing history across participating websites to show you interest-based advertisements on those websites. You can opt-out of receiving interest-based ads from us by changing the settings on your browsers or by visiting Google's Ads Settings at www.google.com/settings/u/0/ads. Please note that if you choose to opt out, you will continue to see ads on our Site, but they will not be based on how you browse and shop.

Currently, our Site does not recognize if your browser sends a "do not track" signal or similar mechanism to indicate you do not wish to be tracked or receive interest-based ads. We allow third-party publishers across the web to collect information stored in cookies on your computer about your online activities when you leave this Site. We may use any of your feedback or suggestions to improve our services or for marketing purposes on our website or on any of our social media sites without any obligation to you.


Statistical Analysis

We may use your information you provide to us through any medium (including emails you delegate us to process on your behalf), combined with other information we may obtain from other sources, to perform statistical, demographic, and marketing analyses of the users of the The VA Toolbox services, their service requests patterns, improve our understanding of our customers and potential customers, improve our service, and to improve customer relationships.


Third Party Advertising And Marketing

From time to time with your consent, we may disclose information with The VA Toolbox partners who may offer you products and services of interest. You may opt-out of this sharing by Contacting Us. The information we may share with The VA Toolbox partners includes your name, address, email address, telephone number, and information about types of services you have requested. We require The VA Toolbox partners to agree to reasonable contractual and technical protections to limit their use of that information to their own advertising, and to not further share or distribute your information to non-partner third parties without your consent. If you have consented to our sharing your personal information with these third parties, you may subsequently opt-out by Contacting Us.


Delegation Of Your Inbox And Calendar

In the event you authorize us to access your email or calendar accounts, we will not share their contents with third parties without your consent except as necessary to perform the services requested and as required for Legal Proceedings as described below. We reserve the right to turn over any information related to any potentially illegal activity contained in these accounts to law enforcement for civil and/or criminal penalties. It is solely your responsibility to notify any senders of email or meeting invitations or responses that you have delegated your email and calendar to us and that their emails may be observed by us on your behalf.


Legal Proceedings

We will share personal information with third party companies, organizations or individuals outside of Company if we have a good-faith belief that access, use, preservation or disclosure of the information is reasonably necessary to:

Meet any applicable law, regulation, subpoena, legal process or enforceable governmental request
Enforce applicable Terms of Use, including investigation of potential violations
Detect, prevent, or otherwise address fraud, illegal activity, network security or technical issues concerning our service

Your Consent

We do not sell, trade, or transfer your personally identifiable information to third parties except as follows: if the ownership of all or substantially all of our business changes or we otherwise transfer assets relating to our business or the Site to a third party, such as by merger, acquisition, bankruptcy proceeding or otherwise, we may share, transfer, or sell your personal information to the new owner. In addition, if The VA Toolbox acquires another entity, The VA Toolbox may share your information with our new corporate affiliate.

You may close your account as described in our Terms of Service. If you close your account, we will no longer use your online account information or share it with third parties. We will delete your information if you specifically request us to do so. We may, however, retain a copy of the information for archival purposes, and to avoid identity theft or fraud.


Security Of Your Information
We use industry standard physical, technical and administrative security measures and safeguards to protect the confidentiality and security of your personal information. However, since the Internet is not a 100% secure environment, we cannot guarantee, ensure, or warrant the security of any information you transmit to us. Although we use industry standard practices to protect your information stored on our servers, there is no guarantee that information, including sensitive personal information, may not be accessed, disclosed, altered, or destroyed by breach of any of our physical, technical, or managerial safeguards. It is your responsibility to protect the security of your login information. Please note that e-mails and other communications you send to us through our Site are not encrypted, and we strongly advise you not to communicate any confidential information through these means.


California Privacy Rights
Under California's "Shine the Light" law, California residents who provide personal information in obtaining products or services for personal, family or household use are entitled to request and obtain from us once a calendar year information about the customer information we shared, if any, with other businesses for their own direct marketing uses. If applicable, this information would include the categories of customer information and the names and addresses of those businesses with which we shared customer information for the immediately prior calendar year (e.g. requests made in 2015 will receive information regarding 2014 sharing activities).

We will provide the requested information to you at your e-mail address in response. Please be aware that not all information sharing is covered by the "Shine the Light" requirements and only information on covered sharing will be included in our response.


Consent To Data Processing In United States
Our Site is operated and managed on servers located and operated within the United States. By using and accessing our Site, residents and citizens of countries and jurisdictions outside of the United States agree and consent to the transfer to and processing of personal information on servers located in the United States, and that the protection of such information may be different than required under the laws of your residence or location.


Changes To Our Privacy Policy
Our Privacy Policy may change from time to time. We will not reduce your rights under this Privacy Policy without your consent in accordance with applicable law. We will post any privacy policy changes on this page and, if the changes are significant, we will provide a more prominent notice (including, for certain services, email notification of privacy policy changes). Recurring Payment Authorization Terms and Conditions Credit Card/Debit Card and E-Sign Consent


By accepting these terms and conditions, you authorize The VA Toolbox, (“Service Provider”) to charge the credit card or debit the debit card account that you have specified in the payment plan setup process each month in the amount designated in the payment plan setup process. You agree that the payment card specified by you for automatic monthly payments to the Service Provider is, and will continue to be, an account that you own, and that you will maintain sufficient availability under your credit card limit, or sufficient funds in the account linked to your debit card, as applicable, to pay your monthly designated amount. The Automatic monthly charge to your credit card or debit to your debit card account will occur on or after the due date specified by the Service plan setup process.


These terms and conditions will constitute your copy of your recurring payment authorization to The VA Toolbox. Please print and retain a copy of this recurring payment authorization for your records.


You can cancel your recurring payment authorization only by contacting the Service Provider by telephone or notifying the Service Provider in writing provided to the email thevatoolbox@gmail.com 


Your request to cancel your recurring payment authorization must be received by the Service Provider at least three business days (72 hours) before the designated due date for the month in which your next billing cycle takes effect. If your cancellation request is submitted after this time, the cancellation will not take effect until the following billing cycle for your statement. 

If you cancel your recurring payment authorization, you will then be responsible for taking the appropriate action to pay your bill in full on or before the statement due date.



CONSENT REGARDING RECURRING PAYMENT AUTHORIZATION


Scope of Consent.


You acknowledge and agree that by accepting the above recurring payment terms and conditions (“Recurring Payment Terms”), you consent to receive a copy of your payment authorization for recurring monthly payment of your Service Provider statement in electronic form only instead of receiving a paper copy. This consent applies only to recurring payment authorizations as to which the Service Provider is required to provide you with a written copy under applicable law.

No Withdrawal of Consent.


The Service Provider cannot process your online recurring payment authorization unless you are willing to receive, in electronic form only, any copy of the Recurring Payment Terms that we are required to provide to you in writing under applicable law. Consequently, once you have accepted the Recurring Payment Terms, you cannot withdraw your consent to receive your copy of the Recurring Payment Terms in electronic form. However, you will still be able to cancel your recurring payment authorization in accordance with the Recurring Payment Terms.


Paper Copy.


If you wish to obtain a paper copy of your recurring payment authorization, you may do so by printing the Pricing Plans Terms yourself. We use Wix Payment to issue your invoices.
Within the Wix Dashboard, you are able to view your account activity, invoices and make secure online payments. Please make sure we always have the most relevant up-to-date information on your account.


Please note: your Wix Pricing Plans account requires a unique login, if you do not have a login, please create a new account at www.thevatoolbox.com and login to access your account. Email us a request to update your information here thevatoolbox@gmail.com


To cancel your Recurring Payment through Wix: Login, go to Pricing Plans dashboard and click cancel my membership plan.

In addition, your computer must have Internet connectivity. In order to retain an electronic copy of the Recurring Payment Terms. Your personal computer will also need to have the capability to save and store the Recurring Payment Terms or you will need a working printer properly connected to your computer.


Refund Policy.


All digital plans, virtual assistant services, e-books, and recordings, being non-tangible, irrevocable goods, cannot be refunded or exchanged once accessed, downloaded, unzipped, or viewed. As a customer, you are responsible for understanding this upon purchasing any item at our Site and ensuring you've purchased the product you intended to. Additionally, access of media notwithstanding, no product or service shall be re-issued or refunded more than seven business days from the initial purchase date.
